Key changes from 1st October 2009

Director’s address protected from disclosure
On 1st October a director’s current residential address will automatically become the service address. However, if you want to have a different service address, e.g. the company’s registered office, you will be able to change these details online from 1st October on the Companies House web site.

Alternative address for registers
A company’s registers may be held at the registered office address or at a single alternative inspection location (SAIL).
  • Companies House must be notified if you set up a SAIL address
  • You may only have one SAIL address for one company at a time
All or some of your registers can be moved to the SAIL address – but you must notify Companies House accordingly.

Articles for new companies
For new companies, company articles will now include the company’s objects and liabilities – which were previously in memorandum. Copies of model articles are available on the Companies House web site.

Notification of articles changes
You must notify Companies House of amendments to the company’s articles within 15 days of the changes. Failure to do so could result in a criminal offence and a civil penalty of £200.

Accounts need to be filed one month earlier
Companies now have one month less to file their accounts, this applies to accounting periods beginning on or after 6 April 2008. So it is now.
  • every 9 months for a private company
  • every 6 months for a public company
There is a penalty for late filing of accounts, which goes from £150 up to £1,500 for private companies.
